These Terms of Service (“Terms”) apply to happyrobotshop.com, the Happy Robot Shop portal, HRS TV at tv.happyrobotshop.com, partnership inquiry forms, transactional emails, Check This Out, investor information pages, and related Happy Robot Shop studio services. By using the site, creating an account, subscribing to HRS TV, or submitting information to Happy Robot Shop, you agree to these Terms and our Privacy Policy.

Product-specific experiences published by Happy Robot Shop may have additional terms that apply to those products:

1. Who We Are

Happy Robot Shop is a product studio that creates products, experiences, software, content systems, and selective consulting partnerships. References to “Happy Robot Shop,” “we,” “us,” or “our” mean the Happy Robot Shop entity operating the applicable service. Series entities or branded products may be identified on their own sites.

2. Eligibility and Accounts

You must be at least 18 years old to use the portal, HRS TV, subscription services, or partnership inquiry forms. You are responsible for providing accurate account information, maintaining the confidentiality of your login credentials, and all activity under your account. You must accept the then-current Terms and Privacy Policy when creating a portal account.

We may refuse, suspend, or terminate access if we believe an account or request is fraudulent, abusive, unlawful, insecure, or otherwise harmful to Happy Robot Shop, other users, or third-party services.

3. Portal and Check This Out

The Happy Robot Shop portal provides member access to Check This Out, studio resources, community links, subscription management for HRS TV, and related features. Check This Out may include links, excerpts, notes, images, videos, article previews, and other references to third-party materials curated by Happy Robot Shop staff or tools.

Check This Out is provided for informational, educational, and editorial purposes only. It is not professional, legal, financial, medical, investment, engineering, or safety advice. We do not control third-party websites or guarantee that third-party content will remain available, accurate, safe, or appropriate.

4. HRS TV

HRS TV turns the Check This Out feed into passive fullscreen viewing. It may autoplay or embed videos and article previews from third-party services such as YouTube (including privacy-enhanced embed domains where used). Playback controls, videos-only mode, unread/opened state, and availability may change over time.

You are responsible for using HRS TV in a safe and lawful manner, including any rules that apply to the location where it is displayed. We do not guarantee uninterrupted playback, particular content availability, continuous access to third-party embeds, or compatibility with every display, browser, or device.

5. HRS TV Subscriptions and Billing

Paid HRS TV subscriptions are billed through third-party payment services. By subscribing, you authorize Happy Robot Shop and its payment providers to charge the payment method you provide for recurring subscription fees, renewals, payment-method updates, and any applicable taxes or fees disclosed at checkout.

You can cancel renewal through the portal where available. Unless otherwise stated, cancellation stops future renewals at the end of the current paid period and does not automatically refund the current period. If a payment fails, access may be paused, marked past due, or canceled after any applicable grace period.

Prices, features, trial availability, renewal timing, and subscription terms may change prospectively. We will make reasonable efforts to present material billing terms before purchase or renewal where required.

6. Payments and Third-Party Providers

Card tokenization and payment processing are handled by payment providers such as iPOSpays. We are not responsible for payment provider outages, declined transactions, processor rules, card-network decisions, or bank fees. Your use of payment features may also be subject to the payment provider’s terms and privacy practices. Happy Robot Shop is not intended to store full raw card numbers or CVV values.

7. Partnership Inquiries and Communications

Submitting a partnership inquiry does not create a client, vendor, employment, agency, fiduciary, confidential, or exclusive relationship. We may choose whether and how to respond to inquiries. Do not submit trade secrets, regulated information, or highly sensitive material unless we have a separate written agreement in place.

By submitting an inquiry or creating an account, you authorize us to contact you using the information you provide for operational, transactional, support, or partnership-related purposes, including email delivered through AWS SES or similar providers.

8. Investor Information and Crowdfunding

Any investment-related pages on our site are informational and may include required “testing the waters” or similar disclosures. Crowdfunding investments, if offered, are conducted through third-party platforms such as Wefunder and are subject to that platform’s terms, disclosures, and securities laws. Nothing on our site is an offer to sell or a solicitation of an offer to buy securities except where expressly stated through a compliant offering platform.

9. Community Links and Telegram

The portal may link to Happy Robot Shop community spaces, including The Lobby on Telegram. Your use of Telegram or any other third-party community platform is governed by that platform’s own terms and policies. We may moderate, remove, or restrict access to community spaces at our discretion.

10. Acceptable Use

You agree not to misuse the site or services. Prohibited conduct includes attempting unauthorized access, scraping or harvesting data at abusive volumes, interfering with security features, reverse engineering non-public systems, submitting malicious code, abusing forms or payment flows, impersonating others, violating laws, or using the services in a way that harms Happy Robot Shop, users, partners, or third parties.

11. Intellectual Property

Happy Robot Shop names, logos, designs, software, text, images, layouts, and other materials are owned by Happy Robot Shop or its licensors, except for third-party content linked or embedded through the services. These Terms do not transfer ownership of our intellectual property to you.

You may use the site and services for their intended purpose. You may not copy, modify, distribute, sell, or exploit Happy Robot Shop materials except as expressly permitted by us in writing or by applicable law.

12. Third-Party Content and Services

The site may link to or embed third-party websites, videos, tools, payment processors, social networks, communication platforms, font providers, crowdfunding platforms, and other services. We do not control third-party services and are not responsible for their content, policies, performance, availability, security, or practices.

13. Disclaimers

THE SITE, PORTAL, HRS TV, CHECK THIS OUT, AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED AVAILABILITY, ERROR-FREE OPERATION, AND ACCURACY OF THIRD-PARTY CONTENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY ROBOT SHOP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, SERVICE INTERRUPTION, THIRD-PARTY SERVICE FAILURE, PAYMENT PROCESSOR ISSUES, OR RELIANCE ON CHECK THIS OUT. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO HAPPY ROBOT SHOP FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE CLAIM, OR $100 IF NO PAID SERVICE IS INVOLVED.

15. Indemnification

You agree to defend, indemnify, and hold harmless Happy Robot Shop and its officers, directors, employees, agents, and affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the services, your violation of these Terms, or your violation of any law or third-party right.

16. Changes to Services and Terms

We may update, suspend, discontinue, or change any part of the site or services. We may also update these Terms from time to time. The Last Updated date shows the current version. Continued use after changes are posted means you accept the updated Terms, except where applicable law requires a different process for material changes.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to mandatory consumer protections, exclusive venue for disputes arising out of these Terms lies in the state or federal courts located in Hays County, Texas, and you consent to personal jurisdiction there.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any product-specific terms that apply to you, are the entire agreement between you and Happy Robot Shop regarding the studio services described here and supersede prior conflicting understandings on that subject.
